DEFINITIONS For purposes of this Notice, the following capitalized terms shall have the meanings set forth below. Terms used in the singular include the plural and vice versa, and references to a person include an individual, corporation, limited liability company, partnership, trust, association, governmental authority, or other entity. "Additional Charges" means any amounts owing by Tenant under the Lease other than Base Rent, including without limitation late charges, utilities, common area charges, maintenance charges, reimbursement obligations, attorneys’ fees, and any other sums properly due and payable. "Surrender" means the complete vacating of the Premises by Tenant, the removal of Tenant’s personal property except as expressly permitted by Landlord in writing, the return of all keys, cards, codes, and access devices, and the delivery of the Premises in the condition required by the Lease and this Notice. "Holdover Period" means any period of occupancy by Tenant after the Vacate Date without Landlord’s prior written consent or other express authorization under the Lease or applicable law. "Notice Period" means the period beginning on the Notice Date and ending on the Vacate Date, during which Tenant shall continue to comply with all obligations under the Lease and this Notice. "Final Accounting" means the reconciliation of rent, deposits, credits, offsets, and any other amounts due between the parties following delivery of possession and Landlord’s completion of any inspection permitted by the Lease or law. "Security Deposit" means any security deposit, damage deposit, or similar deposit held by Landlord in connection with the Lease, together with any accrued interest required to be returned under applicable law, subject to lawful deductions. 2. NOTICE OF INTENT TO VACATE Tenant hereby irrevocably notifies Landlord that Tenant shall vacate and surrender the Premises on or before the Vacate Date. Tenant acknowledges that this Notice is intended to satisfy any notice requirement set forth in the Lease and applicable law, provided that if the Lease or applicable law requires a longer or different notice period, this Notice shall be deemed effective only to the extent permitted and shall be supplemented as necessary to comply fully with such requirement.
