Call-off Terms and Conditions govern the ordering and delivery of homecare medicines and related services under a framework agreement. Appendix A Call-off Terms and Conditions for the Supply of Goods and the Provision of Services (Homecare Medicines) Where an Order Form is issued by the Authority that refers to the Framework Agreement, the Contract is made between the Authority and the Supplier on the date of that Order Form. The Contract is subject to the terms set out in the schedules of these Call-off Terms and Conditions listed below (“Schedules”). The Authority and the Supplier undertake to comply with the provisions of the Schedules in the performance of the Contract. The Supplier shall supply to the Authority, and the Authority shall receive and pay for, the Goods and/or Services on the terms of the Contract. For the avoidance of doubt, any actions or work undertaken by the Supplier prior to the receipt of an Order Form covering the relevant Goods and/or Services shall be undertaken at the Supplier’s risk and expense and the Supplier shall only be entitled to invoice for Goods or Services covered by a valid Order Form. The Definitions in REF _Ref318701648 \r \h Schedule 4 of these Call-off Terms and Conditions apply to the use of all capitalised terms in the Contract. Schedules Key Provisions Standard Key Provisions Application of the Key Provisions The standard Key Provisions at Clauses REF _Ref358208507 \r \h 1 to REF _Ref500757640 \r \h 9 of this HYPERLINK \l "_Ref318785210" Schedule 1 of these Call-off Terms and Conditions shall apply to this Contract. Extra Key Provisions shall only apply to this Contract where such provisions are set out as part of the Order Form. Term This Contract shall commence on the Commencement Date. The Term of this Contract shall be as set out in the Order Form. The Term may be extended in accordance with Clause HYPERLINK \l "_Ref351021433" 15.2 of HYPERLINK \l "_Ref330459256" Schedule 2 of these Call-off Terms and Conditions provided that the duration of this Contract shall be no longer than any maximum applicable to the Contract if such maximum duration is set out in the Framework Agreement (including any options to extend). Contract Managers The Contract Managers at the commencement of this Contract shall be as set out in the Order Form or as otherwise agreed between the Parties in writing. Names and addresses for notices Unless otherwise agreed by the Parties in writing, notices served under this Contract are to be delivered to such persons at such addresses as referred to in the Order Form. Management and escalation levels for dispute resolution Unless otherwise agreed by the Parties in writing, the management levels at which a Dispute will be dealt with as referred to as part of the Dispute Resolution Procedure are as follows: Order of precedence Subject always to Clause HYPERLINK \l "_Ref329261765" 1.10 of HYPERLINK \l "_Ref318701648" Schedule 4 of these Call-off Terms and Conditions, should there be a conflict between any other parts of this Contract the order of priority for construction purposes shall be: the Order Form the applicable provisions of the Framework Agreement other than the Specification and Tender Response Document; the provisions on the front page of these Terms and Conditions for the Supply of Goods and the Provision of Services (Purchase Order Version); HYPERLINK \l "_Ref318785210" Schedule 1 of these Call-off Terms and Conditions: Key Provisions; the Specification and Tender Response Document (but only in respect of the Authority’s requirements and, for the avoidance of doubt, the order of precedence set out in Clause REF _Ref442452524 \r \h \* MERGEFORMAT 6.2 of REF _Ref318785210 \r \h \* MERGEFORMAT Schedule 1 of the Framework Agreement in relation to the various parts of the Specification and Tender Response Document shall apply); HYPERLINK \l "_Ref330459256" Schedule 2 of these Call-off Terms and Conditions: General Terms and Conditions; HYPERLINK \l "_Ref351036323" Schedule 3 of these Call-off Terms and Conditions: Information Govern

FAQs

How is the contract formed under these call-off terms?

A contract is formed between the Authority and the Supplier on the date the Order Form is issued, provided it refers to the Framework Agreement. The contract is subject to the schedules listed in these Call-off Terms and Conditions.

Can the supplier invoice for work done before receiving an Order Form?

No. Work undertaken before receipt of an Order Form covering the relevant goods and/or services is undertaken at the supplier’s risk and expense, and the supplier is only entitled to invoice for items covered by a valid Order Form.

What happens regarding TUPE at the commencement of the services?

At service commencement, TUPE and the Cabinet Office Statement are agreed not to apply to transfer employees to the supplier. If an employee claims or it is determined that employment transferred under TUPE, notice timelines and potential employment offers by the Authority or Third Party apply, and the supplier may have ongoing obligations if no offer is made.
