International Finance Corporation (IFC) Board of Governors Resolution No. 270 approves converting a portion of retained earnings into paid-in capital. Public Disclosure Authorized Public Disclosure Authorized INTERNATIONAL FINANCE CORPORATION BOARD OF GOVERNORS Resolution No. 270 2018 Conversion of Retained Earnings and General Capital Increase WHEREAS the Directors ofthe Corporation have decided that a part of the retained earnings of the Corporation be converted into paid-in capital subject to the Board of Governors authorizing an increase of authorized capital stock of the Corporation and issuance of corresponding shares to members; WHEREAS the Directors ofthe Corporation (in accordance with Article II, Section 3 (d)) have determined it would be desirable that each member be issued shares without any cash contribution and the mechanism for subscription be automatic as set forth below, subject to the Board of Governors authorizing an increase of authorized capital stock of the Corporation and issuance of corresponding shares to members; WHEREAS the Directors of the Corporation have submitted proposals therefor in their report dated June 4, 2018 to the Board of Governors on the basis set forth below; NOW, THEREFORE, THE BOARD OF GOVERNORS RESOLVES THAT: A. To implement the conversion of a portion of the retained earnings ofthe Corporation into paidin capital, the authorized capital stock of the Corporation is hereby increased by the creation of 16,999,998 additional shares having a par value of one thousand United States dollars ($1,000) each, the issuance of such shares being authorized as set forth herein. B. The provisions of this Resolution shall become effective when Governors exercising not less than four-fifths majority of the total voting power shall have voted in favor of this Resolution. C. Upon the date of effectiveness of this Resolution, each member of the Corporation shall be issued the number of shares of capital stock of the Corporation set opposite the name of such member in Table I attached to this Resolution (without any cash contribution) .
