DocShare User Agreement

Welcome to DocShare. This User Agreement ("Agreement") is a legal contract between you ("User", "you", or "your") and DocShare ("Platform", "we", "us", or "our"). This Agreement governs your access to and use of the DocShare website and services, including uploading, sharing, viewing, and downloading user-generated content (UGC).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must cease use of the Platform immediately.

1. Eligibility

To use DocShare, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction.
  • You have the full right, power, and authority to enter into this Agreement.
  • Your use of the Platform does not violate any applicable law or regulation.

2. User Accounts

Accuracy

You must provide accurate and complete information when creating an account.

Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent or illegal activities.

3. Uploader Responsibilities and Warranties

By uploading content (documents, templates, images, etc.) to DocShare, you affirm that:

Ownership

You own the copyright to the content or have obtained all necessary licenses and permissions to distribute it publicly.

No Infringement

Your content does not infringe upon the intellectual property, privacy, or publicity rights of any third party.

Content Standards

You will not upload content that is defamatory, obscene, harmful, or contains viruses, malware, or any code intended to damage or surreptitiously intercept data.

4. Licenses and Rights

License to DocShare

By uploading content, you grant DocShare a worldwide, non-exclusive, royalty-free, perpetual, and sublicensable license to host, store, reproduce, adapt, publish, and distribute your content for the purpose of operating and promoting the Platform.

License to Other Users

By making your content "public," you grant other users a non-exclusive, worldwide license to access, download, and use the content for personal or internal business purposes, subject to the specific license type you select (if applicable).

5. DMCA / Copyright Policy (Notice and Takedown)

DocShare respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA).

5.1 Reporting Infringement

If you believe that any content on DocShare infringes your copyright, please use our "Report" button on the document page or send a formal notice to our Copyright Agent at docshare@wps.com with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent.
  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material that is claimed to be infringing (including the specific URL).
  • Your contact information (address, telephone number, and email).
  • A statement that you have a "good faith belief" that use of the material is not authorized.
  • A statement, made under penalty of perjury, that the information in the notification is accurate.

5.2 Counter-Notification

If your content was removed by mistake, you may submit a counter-notice. If a valid counter-notice is received, DocShare may reinstate the content within 10-14 business days unless the copyright owner seeks a court order.

5.3 Repeat Infringer Policy

In accordance with the DMCA, DocShare maintains a policy of terminating the accounts of users who are deemed to be repeat infringers, which typically means a user who has received three (3) or more valid copyright takedown notices.

6. Content Moderation and Enforcement

DocShare reserves the right to:

  • Remove or restrict access to any content that violates this Agreement or applicable law.
  • Suspend or terminate accounts that engage in unlawful or abusive behavior.
  • Implement automated or manual content review processes.

7. Disclaimers and Limitation of Liability

The Platform and all content are provided on an "as is" and "as available" basis. DocShare makes no warranties regarding:

  • The accuracy, reliability, or legality of uploaded content
  • Continuous or error-free operation of the Platform

To the fullest extent permitted by law, DocShare shall not be liable for any indirect, incidental, consequential, or special damages resulting from use of the Platform.

8. Modifications to This Agreement

DocShare may update this Agreement from time to time. Material changes will be communicated through the Platform or other appropriate means.

Continued use of the Platform after updates constitutes acceptance of the revised Agreement.

9. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws applicable in the jurisdiction where DocShare operates.
