No8429664-2 with its registered office at Office No. 11, ABIS Centre Providence Estate, Mahe, Seychelles.  \nAND  \n  (hereinafter referred to as “White Label Partner”) Each hereinafter referred to as the “party” or collectively the “parties“.  \nWHEREAS  \nA-CFI Seychelles is a regulated institution offering its clients powerful trading platform(s) through terminal(s) with high quality, automated trading and order execution;  \nB-The White Label Partner wishes to provide its clients access to the CFI Seychelles’s trading platform through a white label solution allowing the clients to trade under the White Label Partner’s name and specifications;  \nC-The White Label Partner will proceed or have proceeded to open an account at CFI Seychelles to cover its clients trades (hereinafter referred to as Covering Account) . Unless otherwise agreed, all Transactions of the White Partner Clients are reflected in the Covering Account of the White Label and the White Label undertakes to honor on its own and be fully liable for the obligations arising from these Transactions. The Covering Account shall be governed by the General Conditions of CFI Seychelles and by entering into this agreement, the White Label Partner has confirmed having agreed and accepted these General Conditions (General Conditions being defined in the Definitions section of this Agreement) ;  \nD-Some parts of the System (as defined under section 1 of this Agreement) have been developed by CFI Seychelles itself, which is thus the legal owner of it, while other parts of the System are used by CFI Seychelles under license agreements between CFI Seychelles and the legal owners of the intellectual property rights related to these parts, in connection with the trading information system and the computer software package intended for the provision of brokerage service to customers engaged in internet trading;  \nE-CFI Seychelles wishes to grant the White Label Partner the right to use the System through a white label and to be provided by CFI Seychelles with additional clearing services as set forth hereunder.  \nNOW THEREFORE, IT IS HEREBY AGREED AS FOLLOWS:  \n1.
