General  \nContractor will be compensated for the Services carried out as described in Schedules B as determined in accordance with the general compensation provisions described in this Schedule B.  \nAll compensation detailed below is in USD (American US Dollars) and shall be paid to Contractor in that currency.  \n2. Pricing Basis  \nThe specific Unit Rate and Lump Sum rates and prices set forth herein are for the complete performance of the Services and Work and are firm and fixed, not subject to rise and fall.  \n3. Pricing Schedules  \nCompensation shall be paid to Contractor in accordance with the detailed rates and prices included in this Schedule. Table B-1 below is a summary of the total estimated value of the whole of the Services. General Pricing Exclusions  \n(a) VAT (if a Mauritanian Registered Company)  \n5.1. VAT Status  \n• The Services under this Agreement are deemed to be VAT Exempt under CODE C5 (Mine geology) . Contractor shall reference this CODE when invoicing in accordance with format set out in Schedule D.  \n6. General Pricing Inclusions  \nThe compensation to be paid to Contractor includes all direct and indirect costs incurred by Contractor in carrying out Contractor’s obligations as set forth in the Agreement, including but not limited to; profit,  \nmanagement, supervision, salaries, wages, overtime and employee benefits, RSI Tax (if not a Mauritanian Registered Company), materials, rentals, off-site and on-Site overheads including timekeeping, Site accommodations and messing and transportation for Contractors employees, all clerical and office work and consumables, all insurances and fees, employee sick leave, vacations and leave breaks including fares and allowances, visas and work permits and all other related costs whatsoever for labor, expenses, materials, equipment, supplies and incidentals.  \n6.1.  Indirect Lump Sums-Mobilization, Demobilization, Contractor Facilities and Other Indirect Costs“Indirect Lump Sums” are defined as Lump Sum amounts intended to compensate for Contractor indirect and overhead costs that are not directly related to individual specific work scopes and pricing and as such, no Indirect Lump Sum costs are included elsewhere in the Compensation. Indirect Lump Sum prices are firm lump sum prices, include all costs, expenses, overhead and profit, all taxes (except VAT), and are more specifically identified as follows:  \n(a) Mobilization: Compensation may be invoiced by Contractor following full mobilization of all resources to Site. Mobilization rates shall be deemed to include all associated; (i) personnel costs including recruitment, engagement, pre-Site employment medical examinations, visa, work permit and travel expenses; (ii) material and equipment procurement shipping preparation and transport costs to the Work locations from point of origin, and,(iii) any other costs incurred by Contractor in the mobilization of its resources.  \n(b) Demobilization: Compensation may be invoiced by Contractor following full demobilization of all resources from Site.
