SERVICES  \n1.1 BNM hereby appoints and the Company hereby accepts BNM’s appointment to perform the services specified in Schedule [insert the applicable schedule] throughout the period of this Agreement to the satisfaction of BNM.  \n1.2 The Company shall liaise, report, take instructions and directions from BNM's authorised personnel as notified in writing by BNM and shall execute such instructions and directions in a timely manner.  \n1.3 Unless otherwise instructed in writing by BNM, the Company shall commence the services not later than the commencement date of this Agreement.  \n1.4 Notwithstanding clause 1.3, where the services have commenced prior to the commencement date of this Agreement, the provisions of this Agreement shall apply from the date that the Parties have agreed in writing that the services had commenced.  \n1.5 The Company shall complete a report detailing the services carried out after every service provided by the Company (hereinafter referred to as “the Service Report”) and if BNM is satisfied with the performance of the services, BNM shall acknowledge acceptance of the services by signing the Service Report. If BNM refuses to sign the Service Report due to unsatisfactory performance of the services, the Company shall re-execute the services.  \n1.6 The Company is obligated to absolutely re-execute the services specified in Schedule [insert the applicable schedule] or any additional service at no additional charge if BNM is of the opinion that the services provided by the Company are unsatisfactory. The services performed shall be re-executed until BNM is satisfied that the same have been properly executed by the Company.  \n1.7 BNM may make arrangements with the Company to provide services additional to those services specified in Schedule [insert the applicable schedule] and the Company shall provide the additional services as and when required by BNM. Payment for such additional services shall be made at the amount and in the manner as referred to in clause 4.6.  \n2. REPRESENTATIONS AND WARRANTIES  \n2.1 The Company hereby represents and warrants to BNM that –  \n(a) it is a company validly established under the laws of Malaysia;  \n(b) it has the corporate power to enter into and perform its obligations under this Agreement and to carry out the transactions and to carry on its business as contemplated by this Agreement;  \n(c) it has taken all necessary corporate actions to authorise its signatory and witness stated herein to execute this Agreement on its behalf, to perform this Agreement and to carry out the transactions contemplated by this Agreement;  \n(d) as at the date of this Agreement, neither the Company’s execution nor performance of this Agreement nor any transactions contemplated by this Agreement shall violate any provision of-  \n(i) its Memorandum and Articles of Association; or  \n(ii) any other document or agreement binding upon it or its assets;  \n(e) no litigation, arbitration, tax claim, dispute or administrative proceeding is currently pending or, to its knowledge, threatened, likely to have a material adverse effect upon it or its ability to perform its obligations under this Agreement;  \n(f) this Agreement constitutes a legally binding obligation on the Company and enforceable by its terms and conditions;  \n(g) it has fulfilled all requirements under the law to undertake and to provide the services, including obtaining the relevant license or permits which shall be valid throughout the period of this Agreement;  \n(h) it has the necessary financial and technical capability to undertake the services; and  \n(i) it shall provide the services in good faith and meet the highest professional standards,  \nand the Company acknowledges that BNM has entered into this Agreement in reliance of its representations and warranties as aforesaid.  \n3.
