University Drive, \\#321, Coral Springs, Florida 33071 and Lee County School District, (hereinafter referred to as “CLIENT”), a Florida Entity whose address is 2855 Colonial Blvd, Fort Myers, FL 33966.  \nWhereas HRB provides Human Resources Consulting Services as outlined in the Agreement for Services, and CLIENT desires to obtain the services for the benefit of its business. HRB desires to perform such services for CLIENT.  \nAccordingly, the parties agree as follows:  \nTERMS  \nEngagement of HRB-CLIENT hereby engages HRB, and HRB accepts such engagement to provide Human Resources Consulting services upon the terms and subject to the conditions hereinafter provided.  \nI.  Services Provided. HRB shall provide the Services as listed in the attached “Exhibit A.”  \nII.  Performance of Services. The specific days and hours to be worked shall be determined by HRBin consultation with Client. Client will rely on HRB to work as many hours as may be reasonably necessary to fulfill HRB's obligations under this Agreement.  \nIII.  Retainer/Payment. Client will pay a retainer to HRB for the Services in the amount of $5,000 .00. The retainer shall be payable in advance within seven (7) business days of contract signing. HRB shall bill first to the retainer. The hourly rate for Services shall be two hundred and fifty dollars ($250 .00) per hour, billed based on a minimum of fifteen (15) minute increments. Travel time, accommodations (if needed) and meal costs are passed through as an expense and invoiced together with the aforementioned fees. Upon depletion of the retainer, Client shall be billed upon completion of the work with payment terms of net seven (7) business days.  \nIV. Additional Services Provided to Client. Client may desire additional services at any time during the term of this Agreement. The additional services shall be quoted and billed separately from this Agreement.  \nV.  Support Services.  Client understands that the ability of HRB to successfully provide the Services contracted for, require Client to provide necessary support, including but not limited to: coordinating reasonable access to necessary personnel within the scope of this engagement pursuant to Exhibit “A”; and timely respond to information request for relevant policies, procedures and documentation necessary.  \nVI.  Independent Relationship. None of the provisions of this Agreement are intended to create nor shall they be deemed or construed to create any relationship between HRB and CLIENT other than that of independent entities contracting with each other hereunder solely for the purpose of effecting the provisions of this Agreement. Neither of the parties hereto, nor any of their respective officers, directors, or employees shall be construed to be the agent, employee, or representative of the other, except as specifically provided herein.  \nVII.  Indemnity. Both parties to this Agreement agree to and shall indemnify, defend and hold the other party harmless from and against all claims, costs, damages, lawsuits, liabilities and expenses (including reasonable attorney’s fees), and for any and all injuries or damages to persons or property, arising out of, resulting from, or in any way connected with acts or omissions of the party, its agents or employees under this Agreement. The rights and duties of the parties under this Section VI shall survive the termination of this Agreement.  \nVIII.  Confidentiality. Client and HRB understand and agree that in the course of their professional relationship they may receive and/or become aware of information, trade secrets, projects, practices, customer contacts, and potential customers, which are sensitive and confidential in nature.
