The Assignor desires to absolutely and irrevocably assign, transfer and convey to the University, and the University desires to obtain from the Assignor, the entirety of the Assignor’s right, title and interest in and to the Invention so that the University may Commercialize (as hereinafter defined) the Invention and tangible embodiments thereof.  \nC.
