(“GrAidr”) and Client’s use of GrAidr’s products and services (including Client’s licensing of GrAidr’s SaaS, Client’s use of Services, and/or Client’s purchase or purchasing of Hardware) are subject to the terms and conditions set forth herein and are between Client and GrAidr. Capitalized terms are defined in Section 7 below, unless otherwise defined within the body of this Agreement or the applicable Schedule. In order to use the Products, Client must first agree to this Agreement. Client represents and warrants that (i) Client has the necessary and full right, power, authority, and capability to accept this Agreement, to bind Client’s organization, and to perform Client’s obligations hereunder; (ii) Client's execution and performance of this Agreement does not and will not conflict with or violate anyother agreement, obligation, law, regulation, or order to which Client is subject; (iii) Client will comply with all applicable laws, regulations, and third-party terms in connection with its use of the Products; and (iv) Client has obtained or will obtain all necessary consents, authorizations, and notices required under applicable law (including FERPA, recording laws, and privacy laws) prior to using the Products. Client can accept this Agreement by: (a) clicking to accept or agree to this Agreement, where this option is made available to Client by GrAidr in the user interface for any Product; (b) signing a document where a link to this Agreement appears in an order form, Schedule, or other document provided to Client by GrAidr; (c) by signing this Agreement, if there is a designated area to sign; or (d) by actually using the Products. In the case of (d), Client understands and agrees that GrAidr will treat Client’s use of the Products as acceptance of this Agreement from that point onwards. Client may not use the Products and may not accept this Agreement if (i) Client is not of legal age to form a binding contract with GrAidr, or (ii) Client is a person barred from receiving the Products under the laws of the United States or other countries, including the country in which Client is a resident or from which Client uses the Products. Client may not use the Products if Client does not accept this Agreement. By accepting this Agreement, Client agrees as follows:  \n1. AGREEMENT STRUCTURE AND SCOPE.  \n1.1. General Terms and Product-Specific Terms. This Agreement establishes the general terms and conditions to which the parties have agreed to in order to facilitate the licensing and use of the Products. Product-specific terms and conditions applicable to particular offerings (for example, SaaS, Services, and Hardware) are set forth in this Agreement, including in Section 3.11, Section 3.12, and Section 7, and may be supplemented in an applicable Schedule. All references to the “General Terms” mean this document, together with any product-specific provisions contained herein, exclusive of Schedules.  \n1.2. Incorporation of Schedules. The parties may enter into new Schedules from time to time. Each Schedule incorporates the terms of these General Terms.  \n1.3. Incorporation of EULAs; Third-Party Provider Terms. Client’s use of any Third Party Products hereunder may be subject to, and Client will comply with, this Agreement and any applicable Third Party EULA(s). Client acknowledges that the Products depend on and incorporate third-party services and technologies, and that Client’s use of the Products constitutes Client’s acceptance of and agreement to comply with all applicable third-party terms.
