This MOU reflects the intent of the Parties to participate in good faith negotiations and cooperative efforts and is not intended to create any obligation to undertake any specific proposals or to enter into any future agreements.\nWHEREAS, University of Louisiana at Lafayette is a Sponsoring or Associate Institution (hereinafter “Subcontractor”) in good standing with\n[Insert Provider name]\n(hereinafter “Prime Contractor”) (the parties hereto may be collectively referred to individually in the singular as “Party” or collectively in the plural as “Parties”); and\nWHEREAS, the above identified Parties, because of their diverse but complementary capabilities, have determined that they would benefit from an understanding regarding mechanisms for teaming to submit research and/or educational proposals to external agencies; and\nWHEREAS, in the event of a contract award arising out of these premises, the Parties intend to enter into an agreement whereby Prime Contractor shall be the prime contractor, and Subcontractor shall be the subcontractor; and\nWHEREAS, the respective capabilities of Prime Contractor and Subcontractor are complementary; and\nWHEREAS, proposal opportunities often require rapid response, and in anticipation of future proposal opportunities, the Parties have reviewed the Teaming and Mutual Nondisclosure Agreements, which are attached to this MOU (hereinafter collectively “Agreements”);\nNOW, THEREFORE, the Parties agree in principle to the terms set forth in the Agreements.
