The overall cost to the client has been estimated at date of signature of this memorandum of agreement as \u0003R (insert figure in number and words)\u0004, and the cost to GTAC has been estimated at date of signature of this memorandum of agreement as \u0003R (insert figure in number and words).\u0004\u0004\nGTAC will be responsible for the payment of the Technical Assistance team as well as for the provision of the necessary internal resources to implement the Agreement.\nThe Client undertakes to pay the overall cost contained in 2.1 as per the milestones identified below:\nAll the payments are to be effected within 30 (thirty) days after the submission of an invoice and all necessary supporting documents to the Client.\nDOMICILIUM ADDRESSES AND NOTICES\nThe parties choose as their addresses for the purposes of this Memorandum of Agreement, the addresses set out below:\nGENERAL\nThis Memorandum of Agreement, in two signed originals, constitutes the sole record of the Agreement between the parties in regard to the subject matter hereof. Each party retains one of the two signed originals.\nThis Memorandum of Agreement supersedes and replaces prior commitments, undertakings or representations, whether oral or written, between the parties in respect of the subject matter hereof.\nANNEXURES\nThe following documents are annexed to this Memorandum of Agreement and form an integral part of the agreement:\nAnnexure I: \t Standard Terms & Conditions for Agreements\nAnnexure II:\tThe Project Charter\nIn the event of a conflict between the provisions of the present Memorandum of Agreement and any Annexure thereto, the Memorandum of Agreement shall take precedence.
