referred to as “MSA”) is made by and between Commercial Contracting Corporation (COMMERCIAL), whose office is located at 4260 North Atlantic Boulevard, Auburn Hills, Michigan 48326, and  \n(hereinafter \"SUBCONTRACTOR\")  \nFor and in consideration of qualifying for the opportunity to be awarded a Project Specific Subcontract Agreement (hereinafter referred to as “PSSA”) by COMMERCIAL, SUBCONTRACTOR and COMMERCIAL, agree as follows:  \nDEFINITIONS  \nIndemnified Parties: “INDEMNIFIED PARTIES” shall mean COMMERCIAL, the project Owner, Architect and Engineer, Program/Construction Manager, and General/Prime Contractor, and their principals, officers, directors, employees, agents, representatives, and affiliated companies, collectively or individually.  \nProject Specific Subcontract Agreement: “PSSA” shall include a commercial subcontract form for a specific project, or commercial’s acceptance of a subcontractor quotation by issuance of a notice to proceed, letter of intent, or work release.  \nPerformance: “Performance” shall mean any and all SUBCONTRACTOR activities to prepare for, execute, perform, and complete the requirements of any PSSA awarded to SUBCONTRACTOR.  \nSubcontractor: “Subcontractor” shall mean the SUBCONTRACTOR, any of its sub‐subcontractors, vendors or suppliers, their respective employees, agents, representatives and/or consultants.  \nClaims: “Claims” shall mean any and all claims, fines, and demands for monetary damages, lawsuits, judgments, injunctions, arbitration awards, adverse governmental actions, expenses, attorneys’ fees and costs.  \n1. PURPOSE  \nThe purpose of this MSA is to ensure that all of COMMERCIAL’s subcontractors on COMMERCIAL’S projects are contractually bound to COMMERCIAL with respect to the subject matter of this MSA, and the awarded PSSA at the moment subcontractors first commence performance of any PSSA awarded by COMMERCIAL. This MSA shall be a part of any and all PSSA’s awarded by COMMERCIAL. In the event of any conflicting language between this MSA and any PSSA regarding the subject matter of this MSA, this MSA shall control.  \n2. EFFECTIVE DATE, TERM AND MODIFICATIONS  \nThis MSA and awarded PSSA (when executed or issued) shall be in force and effective on the date that subcontractor first commences the performance of any PSSA’s awarded by COMMERCIAL to SUBCONTRACTOR, regardless of the date of formal execution of the PSSA. This MSA shall apply to, and become apart of; any and all PSSA’s awarded by COMMERCIAL to SUBCONTRACTOR after July 1, 2013, and shall continue in force and effect until either COMMERCIAL terminates this MSA in writing to SUBCONTRACTOR or SUBCONTRACTOR notifies COMMERCIAL of their desire to terminate this MSA. This MSA shall not be modified except by written change executed by COMMERCIAL.  \n3. SUBCONTRACTOR LIABILITY  \na. Subcontractor hereby assumes the entire responsibility and liability for all work, supervision, labor, safety and Materials provided under any COMMERCIAL PSSA, whether or not erected in place, and for all scaffolding, tools, equipment, supplies and other things provided by SUBCONTRACTOR until final acceptance of the work by Owner.
