Maintain Me Group Pty Ltd has requested the Contractor to provide Cleaning Services to Maintain Me Group Pty Ltd and their clients.  \nB. The Contractor has agreed to provide Cleaning Services to Maintain Me Pty Ltd on the terms of this Agreement from the acceptance date of this agreement.  \nMaintain Me Pty Group Ltd and the Contractor agree that:  \n1. DEFINITIONS  \nAgreement means this document including any other schedules and annexures.  \nClaims means all or any claims, demands, debts, accounts, actions, expenses, costs, liens, liabilities and proceedings of any nature whatsoever (whether known or unknown) .  \nCompany Property means equipment, keys, documents, etc. or any other property that belongs to Maintain Me Group Pty Ltd.  \nContractor means the person that undertakes a contract to provide materials or labour to perform a cleanings service on behalf of Maintain Me Group Pty Ltd and includes all officers, employees, agents and contractors of the Contractor which have been formally approved by Maintain Me Group Pty Ltd to provide Services or to perform any Services on behalf of the Contractor.  \nConfidential Information means all the information including trade secrets, Intellectual Property, marketing and business plans, client and supplier lists, computer software applications and programs, business contacts, finance, data concerning the Company or any of its related entities or any client of the Company’s, finances, operating margins, prospect’s lists, and transactions of the Company, and any materials provided to the Contractor by the Company, but does not include information in the public domain other than through a breach of an obligation of confidentiality.  \nFee means the amount payable with respect to the Services set out at Item 6 of the Schedule.  \nGST means goods and services tax, value added tax or similar levied or imposed in relation to a supply (or a deemed supply) of any goods, property, services or any other thing.  \nIntellectual Property means all present and future copyright, registered and unregistered trademarks, patents, designs or rights and any other intellectual or industrial property rights, discoveries, inventions, secret processes or improvements in procedure of any kind whether arising from statute, under common law or in equity.  \nNotice period means 7 days.  \nPersonnel means, in the respect of the Services, the person/people that the Contractor employs in order to provide the Services, including subcontractors that the Contractor may engage.  \nServices means cleaning services.  \nSubcontractor’s Statement means a form prepared for the purposes of section 175B of the Workers Compensation Act 1987, Schedule 2 Part 5 of the Payroll Tax Act 2007 and section 127 of the Industrial Relations Act 1996 or any similar statutory requirement under State or Territory legislation in which the Services are provided.  \nNet Promoter Score (NPS) means a measure of your customer’s overall satisfaction.  \n2. CONTRACTOR’S OBLIGATIONS  \n2.1 Services  \nThe Contractor shall provide and perform Cleaning Services from the acceptance date of this agreement.  \n2.2 Professional standard of care  \nThe Contractor must ensure that the Services are performed in a diligent and professional manner and to the standard of skill and care expected of a professional experienced in the provision of the type of services required by the Maintain Me Group Pty Ltd under this Agreement.
