DEFINITIONS AND INTERPRETATION  \n1.1 Definitions  \nIn this Agreement, the following expressions have the meanings given below, unless expressly provided otherwise:-  \nWords  Meaning  \nAssociated Party Any of the following:-  \n(a) the directors of the Borrower;  \n(b) the shareholders of the Borrower;  \n(c) a company in which any of the Borrower’s directors and/or shareholder is a director and/ora shareholder;  \n(d) the Borrower’s parent/holding company or the subsidiary company;  \n(e) a company in which the Borrower is a director and/or shareholder, whether directly or indirectly;  \n(f) a partnership in which the Borrower is a partner; or  \n(g) a sole-proprietorship in which the Borrower is a proprietor.  \nBank Negara Malaysia  \nBanking Facilities  \nBase Rate  \nBorrower  \nBusiness Day  \nCode  \nCommitment  \nConstitution  \nEvent of Default  \nFATCA  \nThe Central Bank of Malaysia established under the Central Bank of Malaysia Act 2009.  \nAll of the advances or banking or credit facilities made available or agreed to be made available or which will continue to be made available by the Bank to the Borrower now or from time to time under the Letter of Offer and shall include any part of such banking facilities then remaining outstanding, whether restructured or otherwise from time to time. “Banking Facility” means any one of the Banking Facilities.  \nThe rate of interest determined and stated by the Bank from time to time as its base rate.
