Purpose of the LOI  \nThis LOI sets forth the intention of the Parties to explore a potential partnership for the creation and development of a New Main at 100 Park Avenue, Hot Springs, Arkansas. This LOI is not intended to be a binding legal agreement but a mutual expression of the Parties' desire to proceed with discussions, subject to further negotiation, Library Bond Funding, and formal agreements.  \n2. Contingency of Agreement  \nThe Parties acknowledge that the creation and development of the New Main are contingent upon the Library receiving Library Bond Funding to construct the facility. In the event that the Library is unable to secure such funding, the Parties agree that this LOI shall be considered null and void, and neither Party shall have any obligations or liabilities arising from this LOI.  \n3. Next Steps  \nUpon receipt of the Library Bond Funding, the Parties agree to engage in further negotiations and discussions to develop the property at 100 Park Avenue, Hot Springs, Arkansas for the creation and development of the New Main. These discussions will outline the roles, responsibilities, financial commitments, timeline, and other operational details necessary for the establishment and success of the New Main.  \n4. Non-Binding Nature  \nThis LOI is non-binding and does not create any legal obligations on either Party to enter into any further agreements, except as expressly set forth herein. Neither Party shall be held liable for any  \nfailure to perform under this LOI, and any final agreement between the Parties will be subject to mutually acceptable terms to be negotiated in good faith.  \n5. Term of LOI  \nThis LOI will remain in effect until December 31st, 2026, or until such time as the Library secures or fails to secure the Library Bond Funding, whichever comes first. Should the Library Bond Funding be secured, the Parties will promptly begin the process of drafting and negotiating a binding agreement for the creation and development of the New Main.  \n6. Miscellaneous  \na. Governing Law: This LOI will be governed by and construed in accordance with the laws of the State of Arkansas, United States.  \nb.
