OCERS and Contractor are sometimes individually referred to as “Party” and collectively as “Parties.” The Parties hereby agree as follows:  \nARTICLE 1  \nPURPOSE  \n1.1  Project. Contractor desires to perform and assume responsibility for the provision of, and OCERS desires to engage Contractor to render, services for Information Technology Services on the terms and conditions set forth in this Agreement and its attached exhibits.  \nARTICLE 2  \nTERMS  \n2.1  Scope of Services. Contractor promises and agrees to furnish to OCERS all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately perform all services contemplated by this Agreement (“Services”), as more particularly described in the attached Exhibit “A” (“Scope of Services”) . All Services shall be subject to, and performed in accordance with, this Agreement, the exhibits attached hereto and incorporated herein by reference, and all applicable local, state, and federal laws, rules, and regulations. Contractor represents and warrants to OCERS that Contractor will perform the Services in a professional and workmanlike manner, in accordance with best industry standards and practices used in well-managed operations performing services similar to the Services. To the extent necessary to facilitate performance of the Services, OCERS may, in its discretion, make certain of its facilities, assets, and resources available on an “as is, where is” basis to Contractor at Contractor’s request. While on OCERS’ premises, Contractor agrees to comply with OCERS’ access rules and procedures, including those related to safety, security, and confidentiality.  \n2.2 Term. The term of this Agreement will commence upon the Effective Date and will continue for [TBD] months from the Effective Date (“Term”), unless earlier terminated as provided herein. As used herein, “Extra Work” means any work which is determined by OCERS to be necessary for the proper completion of the Services, but which the Parties did not reasonably anticipate would be necessary as of the Effective Date. Contractor shall not perform, nor be compensated for, Extra Work without written authorization by OCERS.
