Developer and Developer are sometimes hereinafter individually referred to as a “Party” and collectively as the “Parties.” \nRECITALS \nA. On July 13, 2004, the City Council of the City of La Puente adopted by ordinance, the Redevelopment Plan for the La Puente Redevelopment Project Area (the“Plan”) . The Plan Project Area (“Project Area”) consisted of five (5) non-contiguous subareas within the City of La Puente totaling approximately 278 acres of land. \nB. Commission desires to implement the Plan for the Project Area by eliminating blight and redeveloping properties located at 1225 to 1313 N. Hacienda Boulevard (formerly known as the La Puente Lanes) and adjacent properties totaling approximately 9.85 acres of real property, located generally at the northwest corner of Hacienda Boulevard and Fairgrove Avenue in the Project Area, and depicted on Exhibit“A” attached to this Agreement (the “Site”) . \nC. The Developer has represented its willingness and ability to undertake certain studies, plans and other activities necessary to define the scope of development and determine the feasibility of such redevelopment of the Site. Such plans and other information to be prepared during the course of this Agreement shall serve as the basis for entering into a Disposition and Development Agreement (DDA) . Commission is willing to enter into a period of exclusive negotiations with the Developer concerning the Developer’s potential redevelopment of the Site, subject to the terms and conditions of this Agreement. \nD. The Developer acknowledges that the Commission intends to enter into this exclusive negotiations period to explore whether the Commission will later enter into a Disposition and Development Agreement with Developer for development of the Site. Commission’s cooperation with Developer during the term of this Agreement shall be solely for the purpose of negotiations. \nNOW, THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: \n1. Good Faith Efforts to Negotiate. The Parties agree, for the term of this Agreement, to negotiate diligently and in good faith to finalize the Concept Plan, determine each party’s responsibilities, and prepare and enter into a DDA or a similar agreement for the redevelopment of the Site. \n(a) If Developer has not continued to negotiate diligently and in good faith, as determined by Commission in its reasonable discretion, Commission shall give written notice thereof to Developer who shall then have ten (10) business days to commence negotiating in good faith. Following the failure of Developer to thereafter commence negotiating in good faith within such 10 business day period, this Agreement may be terminated by Commission. If this Agreement is terminated by Commission pursuant to the above sentence, Developer acknowledges and agrees that Commission will suffer damages, including lost opportunities to pursue other development alternatives for the Site and that it is impracticable and infeasible to fix the actual amount of such damages. Therefore, the parties agree that if this Agreement is terminated as provided above, Commission shall retain the Deposit (as defined below), plus any interest thereon, as fixed and liquidated damages and not as a penalty, and following such termination neither party shall have any further rights against or liability to the other under this Agreement. \n(b) If Commission has not continued to negotiate diligently and in good faith, as determined by Dev","cbCaijHpbI8JOman","https://ap.wps.com/l/cbCaijHpbI8JOman","pdf",58371,"English","# Good Faith Efforts to Negotiate\n## Notice, cure, and termination consequences\n# Developer’s Exclusive Right to Negotiate With Commission\n## Limitation on commission outreach and solicitation","[{\"question\":\"What is the purpose of this exclusive negotiation agreement?\",\"answer\":\"The parties agree to negotiate diligently and in good faith to finalize the Concept Plan and prepare and enter into a Disposition and Development Agreement (DDA) or similar agreement for redevelopment of the specified site.\"},{\"question\":\"What happens if the developer does not negotiate in good faith?\",\"answer\":\"The commission issues written notice, after which the developer has ten business days to recommence good-faith negotiations; failure to do so may allow the commission to terminate the agreement and retain the deposit as fixed and liquidated damages.\"},{\"question\":\"What happens if the commission does not negotiate in good faith?\",\"answer\":\"The developer issues written notice to the commission, which then has ten business days to commence good-faith negotiations; failure may allow the developer to terminate, and the commission must return the deposit in accordance with Section 7.\"}]","Exclusive Negotiation Agreement - August 12, 2008 | PDF",1789566167]
