The Trust and the Recipient are each a “Party” and collectively, the “Parties.”\nWHEREAS, the Trust is the administrator of certain funds allotted to the Maine Department of Transportation (MaineDOT) from the National EV Infrastructure (NEVI) Formula program, which uses resources from the Infrastructure Investment and Jobs Act, also known as the Bipartisan Infrastructure Law (BIL) to develop EV charging infrastructure pursuant to the Memorandum of Agreement, effective January 20, 2023 between the Trust, the MaineDOT, and the Governor’s Energy Office;\nWHEREAS, the Trust issued a Request for Proposals for DC Fast Charging Stations – Maine Phase 6 (RFP EM-010-2024) (the “RFP”) seeking proposals for the development and operation of public, universal DC “fast chargers” (DCFC) to serve electric vehicles (EV) along certain segments of Interstate 295, US Route1, and US Route1A in Portland, Interstate 95 in Pittsfield, Newport, and Hermon, US Route 2 in Rumford and Dixfield, and US Route 3 in North Windham, Fryeburg, and Bridgton\nWHEREAS, in response to the RFP, Recipient submitted a proposal dated __________, 20XX, (“Recipient’s Response to RFP”) proposing to secure one or more suitable Host Sites, procure and install all required EV charging equipment, arrange for necessary utility and service connections, operate and maintain the equipment and charging stations, and provide customer support and reporting for a period of years as called for in the RFP (the “Project”);\nWHEREAS, the Trust, based on the representations contained in Recipient’s Response to RFP and Recipient’s covenants and commitments contained in this Agreement, has decided to make an award (the “Incentive Award”) to Recipient under the Program for implementation of the Project, and;\nWHEREAS, in consideration of the Incentive Award, and subject to the terms of this Agreement, Recipient has agreed to perform the Project as described in the Statement of Work, Specifications and Project Description (the “SOW”) attached as Rider A to this Agreement; and,\nWHEREAS, Recipient acknowledges that the Project to be performed and materials to be provided under this Agreement will be paid by and through the Trust using funds from the federal National EV Infrastructure (NEVI) Formula program, an initiative authorized by the Infrastructure Investment and Jobs Act, also known as the Bipartisan Infrastructure Law (BIL), and Recipient further acknowledges that its receipt of federal funds will require it to comply with certain federal laws and abide by certain contract provisions required in connection with the receipt of federal awards.\nNOW, THEREFORE, in consideration of the foregoing premises and other good and valuable consideration, the Parties agree as follows.\n1.
