It covers: \n(i) progress on companies currently undergoing closure; and \n(ii) the proposed approach to managing immediate and future winddown/strike off activity in a compliant, orderly, and best-value manner. \n1.2 The Committee received a report on 10 July 2025 which set out the companies identified for closure, including proposed closure routes such as strike-off for dormant companies and liquidation where appropriate. \n1.3 On 13 November 2025, the Committee approved the appointment of closure directors to enable the necessary corporate governance and management activity to commence the closure process and authorised the City Solicitor (Monitoring Officer) to make those appointments. \n1.4 CPS has since progressed closure activity for a defined cohort of companies. Four companies have had the first (voluntary) notice to strike off published in the Gazette. No objections have been received to date, and these companies are expected to be struck off the register by the end of March 2026. \n1.5 The Committee is asked to note progress to date and to endorse the proposed approach that, following lessons learned from the wind-down of the four current strike-off cases, CPS will utilise third-party legal assistance for any immediate wind-downs. This learning will then be embedded as best practice to inform the Companies Creation & Governance Toolkit currently under development. \n2 COMMISSIONERS’ REVIEW \n2.1 Commissioners recognise the progress made with the first four companies being closed and a further three companies commencing the process. However, commissioners want to see faster progress being made to analyse and where appropriate close more entities in order to drive administration savings and remove any commercial/financial risk. Commissioners support the introduction of a best practice framework for this activity. Alongside financial savings there are risks to the council. Commissioners expect the council to utilise its risk management framework in the assessment of risk in this area. \n3 RECOMMENDATIONS \nThat the Committee: \n3.1 Note progress on the company rationalisation and closure programme, including details of companies currently progressing through voluntary strike-off and those proposed for termination and/or voluntary strike-off, as set out in Appendix A. \n3.2 Approv","cbCaibNpGkjUYc3l","https://ap.wps.com/l/cbCaibNpGkjUYc3l","pdf",174635,7,"English","# 1 EXECUTIVE SUMMARY\n## 1.1 Purpose and scope\n## 1.2 Prior committee report and approvals\n## 1.3 Current progress and expected outcomes\n# 2 COMMISSIONERS’ REVIEW\n## 2.1 Progress, need for faster closure, and risk management\n# 3 RECOMMENDATIONS\n## 3.1 Note progress and company lists\n## 3.2 Approve governance and reporting framework\n## 3.3 Endorse third-party legal assistance approach\n## 3.4 Delegate implementation authority\n# 4 KEY INFORMATION\n## 4.1 Context\n## 4.2 Closure routes and director coverage challenges","[{\"question\":\"What does the report cover regarding company rationalisation and closure?\",\"answer\":\"It provides an update on progress for companies currently undergoing closure and sets out the proposed method for managing immediate and future wind-down or strike-off activity in a compliant, orderly, best-value way.\"},{\"question\":\"What progress has been achieved with current strike-off cases?\",\"answer\":\"Four companies have published the first voluntary notice to strike off in the Gazette, with no objections received to date.
