The UNICO Practical Guides have been produced specifically to share this knowledge, experience and best practice within the profession. \nThe UNICO Practical Guides are practical guidebooks on University Contracts. They are designed primarily for use by people in the profession, both new and experienced, in order to tap into the collective learning of colleagues and peers. \nThe Practical Guides have been produced as a resource for Knowledge Commercialisation professionals in the UK. They are not designed to replace or compete with existing manuals or guides, but to provide a new and, we believe, vitally important set of support materials to those of us in the UK who deal with University commercialisation contracts on a daily basis. \nWe hope that you find the UNICO Practical Guides useful. \nKevin Cullen , University of Glasgow Chair, UNICO \nThe UNICO Practical Guides were prepared by UNICO in association with Anderson & Company, The Technology Law PracticeTM \n2 \nconsu ltancy ag reements \nContents \nChapter 4 \n1 General Introduction 5 \n2 Introduction to Consultancy Agreements 7 \n3 Summary of Best Practice 17 \n4 Key negotiating issues in Consultancy Agreements: 21 introduction to frequently-encountered provisions \n5 A checklist of the common provisions found 27 in Consultancy Agreements \n6 Administration of Consultancy Agreements 33 \nAppendix \nA Template Agreements 46 \n1. The provision of advice to commercial organisations, based on that knowledge and skill, is now an important goal for many universities. Such provision is often regulated through consultancy agreements (“consultancy agreements” in this Practical Guide) . \nThe purpose of this Practical Guide is three fold: \n1 to provide an introduction to consultancy agreements and their use, including legal, practical and negotiating issues; \n2 to provide some suggested templates together with guidelines concerning their completion; and \n3 to consider and discuss some of issues which are problematic or of particular concern to universities. \nThis Practical Guide attempts to provide information that is useful for both the beginner and the more experienced research contracts or technology transfer professional. The breadth of material covered may give the misleading impression that university contracts are fraught with legal and commercial difficulties. Usually, this is not the case. But sometimes differences of expectation, practice or legal culture can arise between the parties negotiating an agreement, particularly in international transactions. The beginner may wish to focus on the earlier chapters and to use the detailed discussion that appears in the Appendices as a reference source if a specific question or problem arises. \nIn addition to this Practical Guide, users can also access a password-protected page on the UNICO web site [at www.unico.org.uk which](at www.unico.org.uk which) (now or in the future) will contain: \na an electronic copy of this Practical Guide \nconsu ltancy ag reements \nconsu ltancy ag reements \nb additional material as it becomes available, which may include additional precedent material ","cbCaiuhdJfgGkoy9","https://ap.wps.com/l/cbCaiuhdJfgGkoy9","pdf",1678407,116,"English","# General Introduction\n## Purpose of the Practical Guide\n## How to use the guide and reference materials\n## Abbreviations used in the Practical Guide\n# Introduction to Consultancy Agreements\n## What is a consultancy agreement?\n## Key university negotiating considerations\n## Parties to a consultancy agreement","[{\"question\":\"What is the purpose of this Practical Guide on consultancy agreements?\",\"answer\":\"It provides an introduction to consultancy agreements and their legal, practical, and negotiating issues, includes suggested templates with guidance for completion, and discusses problematic or high-concern issues for universities.\"},{\"question\":\"What does a consultancy agreement mean in this guide?\",\"answer\":\"A consultancy agreement is a contract between a provider of advice and related services and the recipient (the Client), typically in return for a sum of money.\"},{\"question\":\"Which negotiating issues are often of major concern in university research contracts but may be conceded in consultancy agreements?\",\"answer\":\"Key examples include retaining intellectual property rights in results, academic control over the work to be done, and the right to publish.\"}]","Commercialisation Agreements - Consultancy Agreements 4 | PDF",1789571890,41]
