Being mindful of this, if your intention is not to create a partnership (in the legal sense of the word), you should avoid using this language to refer to your relationship with another entity, instead using terms such as a ‘collaboration’, ‘consortia’ and/or a ‘consortium’. \nWhat language should you use \nThe terms collaboration, association and consortium/consortia are all broad terms to describe the effort of two or more entities working together towards a common purpose and can often be used interchangeably without attracting specific legal and tax obligations. That is with the exception of an incorporated association, as once incorporated any collaborative arrangement will attract unique legal and tax obligations. Likewise, you should also be mindfulthat a consortium exists between two entities and a consortia (as the plural for Consortium), exists between more than two entities. \nWhat is a collaboration agreement? \nA collaboration agreement is a legally binding document between parties that wish to work together towards a common purpose. It details the specifics of the collaboration, the responsibilities and obligations of both parties, how profits and compensation is to be structured and remedies in the event ","cbCaioGda8g4gfvv","https://ap.wps.com/l/cbCaioGda8g4gfvv","pdf",409515,10,"English","# Using the right language\n## Avoiding the term ‘partnership’\n## What language should you use\n# What is a Collaboration Agreement?\n## What type of arrangements can use a Collaboration Agreement?\n## When is a Collaboration Agreement used?\n## How long can you use a Collaboration Agreement?\n## Who can use an auspice arrangement?\n# What are the typical obligations of each party?\n# Advantages of a Collaboration Agreement\n# Drafting a Collaboration Agreement\n## Terms and conditions to consider\n# Template Collaboration Agreement\n# More information","[{\"question\":\"Why does the guide recommend avoiding the term “partnership”?\",\"answer\":\"In a legal sense, “partnership” refers to a specific type of legal relationship with defined legal and tax obligations.
