Schedule: The Parties agree to the following schedule:  \nPreliminary Design: Within 90 Days after Web Design Questionnaire is returned by Client Client Approval/Comment: Within 30 Days after Preliminary Design  \nRevision Rounds: 1 Revision Round within 30 Days after Client Comment  \nClient Comment: Client has up to 30 Days to submit the revision round, after 30 Days the design will be ½nalized automatically  \nFinal Design: Within 14 Days after Client Approval Date  \n3. Client Approval and Revisions: Client must approve all materials before project ½nalization. Client shall beentitled to one round of revisions. Any revisions beyond this shall be chargeable at the discretion of Designer.  \n4. Payment: The Parties agree to the following Payment and Payment Terms:  \nPercentage Due Upon Execution of Agreement: 50% Retainer Upon Booking  \nBalance Due: 50% Final Due Prior to Delivery after Client Approval  \n5. Con½dentiality: During the course of this Agreement, it may be necessary for Client to share proprietary information , including trade secrets, industry knowledge, and other con½dential information , to Designer in order for Designer to complete the Web Design services and Deliverables in their ½nal form. Designer will not share any of this proprietary information at any time. Designer also will not use any of this proprietary information for his/her personal bene½t at any time. This section remains in full force and e»ect even after termination of the Agreement by its natural termination or the early termination by either party.  \n6. Termination: This Agreement shall automatically terminate upon Client’s acceptance of the deliverables. This Agreement may otherwise be terminated at any time by either Party upon written notice to the other party. Client will be responsible for all costs and expenses incurred prior to the date of termination. Retainer is non-refundable at any time for incurred design costs and time. Upon termination , Designer shall return all Client content, materials, and all copies of Deliverables to the Client at its earliest convenience, but in no event beyond thirty (30) days after the date of termination.  \nIn the event of termination of this Agreement, GarlandBurks owns the Web Design and has the right to complete, exhibit, and/or sell the Web Design if Designer so chooses. Designer also owns all the web design concepts created.  \n7. Ownership Rights: Client continues to own any and all proprietary information it shares with Designer during the term of this Agreement for the purposes of the Agreement. Designer has no rights to this proprietary information and may not use it except to complete the Web Design services.
