TERM:Subject to the provisions for termination as hereinaftcr provided,the term of this Agreement will be for the months of July and August,2019.  \nIII.POSITION:The Contractor shall provide facilities maintenanceconsulting services for the District.Contractor,as an independent contractor,shallcontrol the manner in which the services shall be performed and shall supply thenecessary skills,tools,materials and personnel for completion of the project.Contractorshall set its own hours and Contractor's personnel shall not be evaluated by the District.In accordance with applicable law,Contractor shall provide a current Child AbuseHistory Clearance as prescribed by the Pennsylvania Department of Public Welfare,shallprovide satisfactory state and fedcral criminal history background checks to the Districtand shall provide proof of proper training under Acts 126 and 31,for each individualengaged by Contractor to provide services who will come in direct contact with children.  \nIV.OTHER EMPLOYMENT:The Contractor shall dcvote suchreasonable time as shall be needed to render the services.The District acknowledges thatthe Contractor may,during the term of the Agreement,be engaged in other businessactivity and may be engaged in rendering the same or similar services to otherorganizations.  \nV.COMPENSATION:The Contractor's compensation for all services tobe rendered under this Agreement shall be a per diem rate of $550.00,billed to the NewHopc-Solebury School District for services rendered.Contractor shall be entitled to noother compensation,fringe benefits or perquisites of any kind.  \nVI.    RESERVATION OF RIGHTS/TERMINATION:Unless expresslywaived or modified herein,the District reserves all rights conferred upon it by law,whether express or implied.Without limiting the foregoing,the District shall have theright to terminate this Agreement at any time for its convenience or for cause,  \nVII.ILLEGAL COMPENSATION:The Contractor acknowledgcs andagrecs that Contractor shall not accept or receive,directly or indirectly,any bribes,kickbacks,donations,loans,commissions,or other payments regardless of form whetherin money,property or services,in connection with this Agreement and,further,Contractor shall not allow anyone under Contractor's supervision or employment toreceive,directly or indirectly,any bribes,kickbacks,donations,loans,commissions,orother payments regardless of form whether in money,property or services,in connectionwith this Agreement.All compensation to the Contractor relating to any businesstransaction in which the District is involved shall be paid by the District only.  \nVIII.RELATIONSHIP:Nothing in the Agreement shall be considered tocrcate the relationship of employer and employee between the parties hercto and theContractor shall be dcemed at all times an independent contractor,as further confirmedby the attached Independent Contractor Statement.  \nIX.
