Lailee Jane Moghtader abstained.","Public Disclosure Authorized Public Disclosure Authorized  \nThe following item has been approved on an Absence-of-Objection Basis  \non Wednesday, June 24, 2026  \nGabon  \nIFC Investment in  \nSociété d’Exploitation du Transgabonais (“SETRAG”)  \nfor the SETRAG III Project  \nand  \nMIGA Modification of Prior Approval relating to Meridiam InfrastructureAfrica Fund II SLP and Meridiam Infrastructure Africa Parallel Fund II SLP (together Meridiam) for their investments in Société d’Exploitation du Transgabonais  \nThe Board of Directors of IFC and MIGA approved the following on June 24, 2026, as set out in the Memorandum from the President and a report entitled “Gabon – Proposed IFC Investment in Société d’Exploitation du Transgabonais (“SETRAG”) for the SETRAG III Project and Proposed MIGA Modification of Prior Approval relating to Meridiam Infrastructure Africa Fund II SLP and Meridiam Infrastructure Africa Parallel Fund II SLP (together Meridiam) for their investments in Société d’Exploitation du Transgabonais (IFC/R2026-0216, MIGA/R2026-0077, dated June 11, 2026):  \n(a) An IFC investment in Gabon –Société d’Exploitation du Transgabonais (“SETRAG”) for the SETRAG III Project in the form of a debt financing package to SETRAG comprising:  \n(i) an A loan of up to EUR 120 million from IFC’s own account; (ii) a Trust Loan in Euro equivalent of up to US$100 million from IFC in its capacity as implementing entity for trust loans under the MCPP; and (iii) interest rate swaps with an expected positive exposure of up to US$4 million for IFC’s own account, and  \n(b) The President’s proposal to issue a MIGA modification of prior approval to increase the Maximum Aggregate Liability (MAL) under the existing guarantees issued to Meridiam and covering its equity and quasi equity investments in SETRAG.
