The Executive Directors discussed the President’s Memorandum and a document entitled “Establishment of a Financial Intermediary Fund for Gaza Reconstruction and Development”(R2025-0237[IDA/R2025-0304], dated November 18, 2025) and approved the establishment of the Gaza Reconstruction and Development Fund as a Financial Intermediary Fund, with the World Bank acting in the capacity of limited Trustee, and notwithstanding that the minimum conditions on contributors and/or contributions may not be met at inception on the terms and conditions set out in the President’s Memorandum.  \nAdjournment  \n3. The meeting adjourned at 3:16 pm.  \nThe following item(s) have been approved on an Absence-of-Objection Basis  \nor have been authorized to proceed on a streamlined basis between November 19, 2025 and November 20, 2025  \nThese records of approval may not include IFC investments that remain under delayed disclosure process. The Executive Directors approved on November 19, 2025 a Multiphase Programmatic Approach (MPA) financing envelope in the amount of US$450 million and a loan for Phase 1 in the amount of US$150 million with a sovereign guarantee from the Argentine Republic to the Province of Neuquen for a Resilient Infrastructure for Regional Economic Development and Job Creation on the terms and conditions set out in the President’s Memorandum (R2025-0216, dated October 31, 2025) .  \n******************************************************************************  \nTHE BOARD OF DIRECTORS OF IFC  \nLatin America Region-Investment in Latin American Agribusiness Development Corp., LAAD Americas N.V., and Agronegocios LAAD S.A. de C.V. SOFOM E.N.R. for the LAAD Sustainable Project  \n2. The Board of Directors approved on November 19, 2025 an investment in Latin America Region-Latin American Agribusiness Development Corp., LAAD Americas N.V., and Agronegocios LAAD S.A. de C.V. SOFOM E.N.R. for the LAAD Sustainable Project  \n(IFC/R2025-0350, dated November 7, 2025) consisting of a senior financing package in an amount of up to US$160 million to LAAD N.V. and Agronegocios LAAD comprising (i) an “A”loan for IFC’s own account in an amount of up to US$70 million; and (ii) a “B1” loan in an amount of up to US$90 million for the account of the participating investors.
