The Board of Directors ofIFC discussed the President’s Memorandum and a Report on a proposed investment in Thar Surya 1 Private Limited in India and approved the investment consisting of a local currency debt investment of up to US$50 million (equivalent to INR3 .7 billion) in the form of subscription to non-convertible debentures (NCDs) issued by Thar Surya 1 Private Limited. In relation to the NCDs subscribed to by IFC, Directors authorized IFC to dispose of all or part of the NCDs issued by the Company which may be undertaken in the secondary market at a time and price to be determined by IFC management (IFC/R2021-0096;/4, dated May 7, 2021, May 18, 2021, May 20, 2021, and May 27, 2021) and adopted Resolution No. IFC2021-0005 . Ms. Bouzis, Mr. Demircan, and Ms. Levonian wished to be recorded as abstaining.  \nAdjournment  \n3.
