Bird only received the support of 56.66% of the votes cast at the group’s AGM in May:  \nmiles short of what you would expect a sitting chair to receive.  \nThe other two NEDs First Seagull wants gone were supported by 66.3% of votes, which is still well down on what you’d expect if all was well with the business, but First Seagull obviously sees ousting Bird as the key to securing what it wants (and the statements to shareholders have been firmly aimed at him) . A chair serves at the pleasure of the board, so its members could have told him time was up, but that never seemed feasible.  \nA simple majority will decide the general meeting, so First Seagull will have been encouraged by the scale of the AGM rebellion and be hoping a further push will succeed, while probably a little disappointed that round two was required. For the NEDs, there would have been some comfort that they polled above 50% but concern that, in Bird’s case, the margin was the size it was. Phone lines to shareholders will have been glowing since then as each side sought to convince them that their view is what will secure the group’s prospects.  \nAmid all of the corporate control issues is the fact that sales have fallen off a cliff. Yes, the market isn’t pulling up trees and the group has moved away from large volume customers, but that’s only part of the story.
