The order followed a whistleblower complaint received in June 2024 and a subsequent investigation that revealed prima facie evidence of serious corporate governance failures at Gensol and its closely linked start-up venture, BluSmart Mobility. SEBI’s findings pointed to fund diversion, misleading disclosures and extensive related-party transactions involving the company’s promoters (SEBI, 2025 , p. 27; Inamdar, 2025) . Acting in his enforcement capacity, Bhatia barred the promoters from the securities market, halted a proposed 1:10 stock split and mandated a forensic audit – actions that sent shockwaves through India’s start-up and promoter-led business ecosystem (SEBI, 2025 , p. 29) .  \nWhile the order was intended to protect public shareholders and restore market integrity, it also raised broader concerns about regulatory overreach in a country where entrepreneurial risk-taking had been central to economic growth. As of March 2025, private promoter holdings in India’s Nifty 500 index stood at 31.4%(NSE, 2025), while the country retained its position as the world’s third largest start-up ecosystems as of December 2024 (Government of India, 2025) . In the aftermath, many founders and promoters expressed concerns about the erosion of public trust in start-ups and promoter-led ventures, fearing that the entire ecosystem might be unfairly judged by the misconduct in a single high-profile case (Sabharwal, 2025) . As a senior SEBI official responsible for enforcement and market integrity, Bhatia now faced a critical decision: how should he, along with other board members, recalibrate SEBI’s approach to governing promoter-led and start-up-driven listed firms, strengthening safeguards against abuse while preserving innovation, investor confidence and the dynamism of India’s emerging economy?
