To do so, this essay strategy guide contains several important sections. \nFirst, we will cover the frequency of testing of this subject on at least one essay in any given bar examination. This will give you an idea of how frequently the essay subject appears in the real world so you can guide your study time appropriately. \nNext, we present some quick tips about the subject. Quick tips are designed to present short pieces of information about the essay subject that may not be obvious while memorizing black letter law. \nLastly, the essay rule templates provide you with a list of short rule statements for the most tested issues on this subject. These must be committed to memory and used whenever the issue arises on an essay. Some of the rules may seem incomplete. This is intentional. The purpose of this guide is not to recreate a full outline on the subject. Rather, it is designed to give you the tidbits of legal rules that are generally sufficient to pass a Florida bar exam essay on this subject. \nIII. Frequency of Testing \nFlorida Contracts appears very frequently on the bar exam as shown in the chart below. It appears on half of all bar exam. Statistically speaking, you are virtually guaranteed to have at least one essay on Florida Contracts, Florida Torts, and/or Florida Real Property. \n• Unless you are told in the essay that the parties entered into a valid contract, you must discuss the elements required for a valid contract and analyze each. \nV. Essay Rule Templates \nA. UCC V. Common Law \nContracts for the sales of goods are governed by the UCC. Contracts for the sale of land or for services are governed by the common law. On every Florida Contracts essay, you must tell the bar examiners whether the transaction is governed by the UCC or by the common law. \n• The general elements for an enforceable contract are offer, acceptance, consideration, and no valid defenses. \nB. Offer \n• An offer creates a reasonable expectation in the offeree that the offeror is willing to enter into a contract on the basis the offered terms. The intent to be bound to the contract, its terms, and the communication of offer to offeree must be clear. \n• An offer is always revocable unless \n(i) Consideration was paid to keep the offer open for a period of time. This is an option contract under the common law; \n(ii) A merchant signs a written offer assuring the offeree that the offer will be held open. This is a firm offer under the UCC; \n(iii) The offeror could have reasonably expected the offeree to rely to his or her detriment on the offer being held open; and, \n(iv) the contract is a unilateral contract where performance has begun. \nC. Acceptance \n• An acceptance is a manifestation of assent to the terms of the offer in the manner authorized by the contract. \n• Mirror Image Rule. The common law follows the mirror image rule. The mirror image rule states that acceptance of the offer must mirror the terms of the offer itself. \n• Sale of Goods Acceptance. Unlike the common law, the UCC states that a contract is formed even if acceptance contains different or additional terms. Whether terms become part of the contract depends on the parties: \no If one of the parties is NOT a merchant, the terms of the original offer controls. \no If both parties are merchants, the additional terms of the acceptance control unless (i) the offer expressly limits acceptance to the terms of offer, (ii) th","cbCaibT0Aavr4rd5","https://ap.wps.com/l/cbCaibT0Aavr4rd5","pdf",132822,"English","# Introduction\n# How to Use This Guide\n## Frequency of Testing\n# Essay Rule Templates\n## UCC vs. Common Law\n## Offer\n## Acceptance\n## Consideration","[{\"question\":\"What format is expected for Florida Contracts essays on the Florida Bar Exam?\",\"answer\":\"Florida Contracts is tested in essay format, even though multiple-choice is permitted for the subject.
